Commercial / Office Lease

Sample lease for shop/office/commercial premises — permitted use, service charge, fit-out, and registration cautions. Advocate review is strongly advised.

How to use this template

⚠️ Important: informational sample only. For high rent, long terms, or fit-out, finalise with an advocate before signing. 1) Identify landlord and tenant (individual/company) accurately. 2) State permitted business/office use clearly; keep trade licence as tenant’s duty. 3) If the term exceeds one year, writing and registration may be required—confirm with Sub-Registrar/advocate. 4) Read the advance/salami/premium legal caution (Legal notes below). 5) Fill fit-out, service charge, signage, and assignment terms. 6) Sign with two witnesses; each party keeps a copy. For homes/flats, use the separate “Residential Tenancy Agreement” template.

Legal notes (read before signing)

Sample only, not legal advice — commercial leases are higher-risk than residential. • The Premises Rent Control Act, 1991 may apply to commercial premises as well. Section 10 is commonly discussed as prohibiting more than one month’s advance and salami/premium (sums beyond rent) without prior written Rent Controller consent—even if market practice differs, verify legality. • Discussions of section 18 note limited eviction grounds and possible “statutory tenancy” protection—do not assume expiry alone ends possession rights. • Under Transfer of Property Act, 1882 / Registration Act practice, leases longer than one year are generally expected to be written and registered. • Trade licence, fire/environment approvals, VAT/tax—verify locally. • Cantonment areas may have separate rent-restriction rules. • Mall, industrial, or large corporate leases are beyond this sample—use an advocate.
